Deputy Compliance (legal) Manager

JOB PURPOSE:

Assist the Compliance Manager in all Legal and Compliance works, including without limitation legal advisory, licensing and litigation & arbitration monitoring.

KEY AREAS OF RESPONSIBILITIES

• Advise on certain legal and compliance matters under supervision of the Compliance Manager;
• Advise and draft the legal documents for sale & purchase, lease of residential housing units including landed houses and apartments, retail agreements and other commercial contracts;
• Prepare the corporate documentation for the project acquisition process, board resolutions, bank financing, due diligence, shareholder agreement, share sale & purchase agreement, shareholder loan and share pledge etc.;
• Negotiate, review and draft contracts, corporate documents and other legal documents;
• Develop legal document templates including contracts, registration forms, appendixes, deposit, and monitor the process of execution and implementation of these templates;
• Advise on construction and related-contractor issues, bank guarantee;
• Draft and review application dossiers to update the incorporation documents of the project companies;
• Provide update on/summary of changes in laws and regulations which are relevant to the company business;
• Monitoring the licensing works and the litigation and arbitration cases;
• Translate documents and review translation works;
• Assist the Compliance Manager and all other team members in any other matters as so required from time to time.
