Position Overview
We are seeking a high-caliber Chief Financial Officer – M&A to lead all financial aspects of our M&A initiatives. This strategic role involves working at the forefront of acquisition execution, structuring, and post-deal value creation. You will partner closely with cross-functional leaders, external advisors, and the Investment Committee to drive sustainable, high-impact transactions aligned with Agronexus Capital’s long-term vision.
Key Responsibilities
1 M&A Strategy & Deal Execution
- Lead the Finance function in identifying, evaluating, and structuring acquisition opportunities.
- Oversee and drive the full spectrum of financial and tax due diligence (FDD & TDD), coordinating with internal teams and external advisors.
- Analyze financial statements, KPIs, cash flows, and key performance drivers of target businesses—both public and private.
- Provide strategic insight to the Investment Committee, challenging assumptions and validating financial soundness of each deal.
2. Transaction Structuring & Completion
- Lead the development and negotiation of the Enterprise Value to Equity bridge, including net debt, working capital, and other adjustments.
- Serve as the financial lead during transaction close, coordinating with Treasury to ensure seamless execution of fund flows.
- Collaborate with Legal on structuring and validating financial terms in Sale & Purchase Agreements (SPA), including earn-outs and contingent considerations.
- Oversee post-closing calculations and manage execution of performance-based payouts.
3. Integration & Value Realization
- Lead end-to-end financial integration of acquired entities, spanning accounting, tax, insurance, fleet, and operations.
- Design and execute role mapping and functional alignment for acquired finance teams, ensuring effective cultural and operational integration.
- Track integration KPIs and synergies realization, reporting progress to senior leadership.
4. Reporting & Governance
- Oversee preparation of quarterly and annual M&A reports to the Board, delivering actionable insights and risk assessments.
- Represent Finance in key external and internal forums, including audits, investor updates, and strategic reviews.
5. Team Leadership
- Lead, supervise, and mentor the Finance team, fostering professional growth.
- Delegate effectively and ensure timely delivery of legal tasks.
