*** Legal Supervisor (Legal Specialist) - This is a senior-level legal position with high autonomy and accountability, suitable for candidates with solid legal experience in a corporate environment.
1. Legal Advice & Contract Drafting Matters:
- Contacting with internal departments and external counsels for obtaining information and document
- Standardizing and updating various kinds of contract, agreement template related to business operation of the company.
- Preparing training slides/documents for usage of standardized contracts.
- Providing legal advice and guidance on all kinds of legal matters.
- Reviewing/translating contracts/agreements, documents, correspondence.
- Reading, researching, reviewing, verifying and routing correspondence, reports and legal documents.
- Following-up on delegated assignments.
- Preparing legal update.
- Providing analysis of business impact of current legislative developments, mainly in the corporate and industrial relations area and recommendations to maximize advantages and mitigate against adverse developments;
- Providing advance notice and assessment of pending legislation.
2. Licensing & Regulatory Matters:
- Ensuring the compliance and renewals of all the licenses and permits of the company.
- Handling of applications, registrations for all necessary licenses, governmental approvals and permits for the operations necessary in Vietnam in cooperation with local management and operation.
3. Dispute Resolution:
- Handling government investigations and prosecutions effectively; not only securing the best possible outcome but also fixing root causes.
- Handling lawsuits of the company, including filing lawsuits for and representing the company in the court/arbitration, studying lawsuits filed by an individual or other business and finding appropriate methods to save and ensure minimum loss to the company.
- Liaising with Judgement Enforcement Authorities to enforce the Court’s judgement/decision or Arbitration award.
4. Legal Updates and Guidelines:
- Preparing regular legal updates on changes in relevant laws and regulations; drafting and distributing legal guidelines on topics pertinent to the company's business activities, such as data privacy, consumer protection, commercial transactions, and environmental compliance, to educate and guide various departments in their decision-making processes.
5. Compliance and Risk Management:
- Monitoring and ensuring adherence to local and international laws, regulations, and industry standards; identifying potential legal risks and developing mitigation strategies.
6. Administrative & Corporate Secretarial Matters:
- Managing the company’s corporate secretarial matters including drafting of power of attorney, office memo, letters to third parties, competent authorities.
- Completing various forms, such as legal reports and producing duplicated copies of company’s official documents/licenses/permits.
- Filing, organizing and maintaining company’s database, law libraries, documents and case files. providing historical references by developing and utilizing filing and retrieval systems.
- Arranging for delivery and following up of legal correspondence to third parties, competent authorities.
- Preparing invoices and tracking payments.
7. Other ad-hoc & project-based tasks:
- Other tasks as requested by Head of Legal
- Other task related to new project of the company
