Brief summary of job profile: Compliance Assistant Manager plays the supporting role in ensuring the Business Unit’s full adherence to applicable laws, regulations, and internal policies. This role is responsible for assisting in the management of the company's legal and regulatory obligations, drafting and reviewing key business documents, liaising with government authorities, and supporting litigation and arbitration processes when required.
Key Accountabilities:
1. Legal & Compliance Operations
- Draft, review, and negotiate commercial contracts and legal documents as assigned, including but not limited to: M&A, construction, procurement, franchising/licensing, real estate, and land/house leasing agreements.
- Conduct legal research and provide legal updates on Vietnamese laws and regulations relevant to the business.
- Offer legal advice to internal stakeholders to support day-to-day business operations.
- Monitor legal risks and assist in ensuring ongoing compliance with local laws, industry regulations, and internal governance standards.
- Prepare and submit required documents for obtaining business licenses and certifications (e.g., construction, food safety, environment, fire protection, business registration).
2. Dispute Management & Government Liaison
- Support the resolution of business disputes by coordinating with external parties to help ensure outcomes are in the company's best interest.
- Assist in litigation and arbitration processes when required.
- Maintain professional working relationships with regulatory bodies and represent the company in meetings with government authorities.
3. Operational Support & Governance
- Assist in the development of compliance-related training and knowledge-sharing materials.
- Coordinate the planning and execution of annual compliance training programs and initiatives to promote awareness of regulatory requirements and foster a culture of compliance across the organization.
- Collaborate with cross-functional departments to identify and resolve compliance-related issues.
- Support the design and implementation of administrative systems and compliance processes to ensure efficiency and consistency.
- Monitor and document business matters or incidents to ensure adherence to internal conduct policies, escalating discrepancies as necessary.
- Oversee the development and maintenance of a comprehensive record management system that complies with both internal standards and regulatory requirements.
- Stay updated on relevant laws, regulations, and company policies to support compliance monitoring, policy alignment, and awareness activities.
