Job requirement

Job Purpose or Summary

Supporting M&A transactions and other special projects, managing shareholder-related legal matters, and ensuring effective corporate governance practices. This role involves working closely with internal departments, shareholders, and external counsel to ensure legal compliance and mitigate risks.

Main Responsibilities

1. Prepare and submit documents related to investment, change company's information, corporate legal.

2. Prepare and provide legal documents to investors for legal and financial due diligence.

3. Work closely with relevant departments to address legal issues during project implementation.

4. Assist in organizing and preparing documents for Board of Directors and General Meeting of Shareholders.

5. Maintain the shareholders book, update shareholder information, and ensure all related documents are archived and compliant.

6. Implement procedures related to share transfers, share certificates issuance, and shareholder requests.

7. Provide legal opinions to management on corporate, investment, and compliance-related matters.

8. Prepare, draft, review contracts and other legal documents to ensure compliance with the laws and regulations and protect the Company's interest.

9. Support line managers in analyzing and summarizing complex legal documents and matters.

10. Represent the company in legal proceedings or work with external counsel as required.

11. Research and update the latest legal documents.

12. Other duties as assigned by line managers.

Job requirement

- Well versed in local law and regulations

- Familiarity and expertise in the areas of foreign investment, commercial/ trading law

- Good knowledge of court procedures

- Ability to work independently, proactive, services mindset.

- Excellent communication and presentation skills
